Terms of Service

Welcome to Here Now ("App," "Service," "Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Here Now Group Ltd ("Company," "we," "us," "our").

By creating an account, accessing, or using our Service, you agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines. If you do not agree to these Terms, do not use our Service.

IMPORTANT: Please read these Terms carefully, including the sections on limitation of liability and dispute resolution.

2.1 Age Requirement

You must be at least 18 years of age to use Here Now. By using the Service, you represent and warrant that you are at least 18 years old.

2.2 Legal Capacity

You must have the legal capacity to enter into a binding contract. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2.3 Verification

We may require identity verification to use certain features of the Service. You agree to:

• Provide accurate and truthful information during verification
• Complete verification processes as required
• Not circumvent or attempt to circumvent verification requirements

2.4 Restrictions

You may not use Here Now if:

• You have been previously banned or removed from the Service
• You are required to register as a sex offender in any jurisdiction
• You are prohibited by law from using the Service
• You do not meet the age requirement

3.1 Account Creation

To use Here Now, you must create an account by providing a valid phone number or email address, a username, and other information as requested during registration.

3.2 Account Accuracy

You agree to provide accurate, current, and complete information; maintain and promptly update your account information; not create accounts using false or misleading information; and not create multiple accounts.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials, all activities that occur under your account, and notifying us immediately of any unauthorised access. We are not liable for any loss arising from unauthorised use of your account.

3.4 One Account Per Person

Each person may maintain only one Here Now account. Creating multiple accounts may result in termination of all accounts.

4.1 Service Description

Here Now is a location-based platform that enables users to discover other verified users nearby who are available to meet, post and join activities ("Pile-ons") in their local area, connect with others for 1:1 meetups, and communicate with matched users through in-app messaging.

4.2 Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be modified, updated, or discontinued at any time; temporarily unavailable due to maintenance or technical issues; or subject to geographic restrictions.

4.3 Daily Reset

Here Now operates on a daily cycle. User availability status resets at midnight (local time). Certain content and connections may expire daily. This is a core feature of the Service, not a limitation.

5.1 General Conduct

You agree to use Here Now in a lawful, respectful, and responsible manner. You will treat other users with respect and dignity, engage in good faith when making connections, honour commitments to meet when confirmed, and report safety concerns or violations promptly.

5.2 Prohibited Activities

Safety Violations — You agree NOT to harass, threaten, stalk, or intimidate any user; engage in any form of abuse, bullying, or hate speech; share another user's personal information without consent; engage in or solicit illegal activities; or use the Service to harm minors in any way.

Fraud and Deception — You agree NOT to impersonate any person or entity; create fake profiles or misrepresent yourself; use the Service for commercial solicitation without authorisation; engage in scams, phishing, or fraudulent schemes; or manipulate or deceive other users.

Platform Abuse — You agree NOT to interfere with or disrupt the Service or servers; attempt to gain unauthorised access to any systems; use automated scripts, bots, or scraping tools; circumvent security features or restrictions; or reverse engineer or decompile the App.

Content Violations — You agree NOT to post illegal, harmful, or offensive content; share sexually explicit or pornographic material; post content that infringes intellectual property rights; spam or send unsolicited promotional messages; or share content depicting violence or self-harm.

5.3 Consequences of Violations

Violations may result in warning or temporary suspension, permanent account termination, reporting to law enforcement where appropriate, or legal action in serious cases. We reserve the right to investigate and take action at our sole discretion.

6.1 Your Content

"User Content" includes any content you submit, post, or transmit through the Service, including profile information, activity posts, messages, and feedback and reports.

6.2 Content Ownership

You retain ownership of your User Content. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free licence to use, copy, modify, display, and distribute your content; the right to sublicence these rights to service providers; and a licence that continues until content is deleted. This licence is solely for operating and improving the Service.

6.3 Content Responsibility

You are solely responsible for your User Content. You represent that you own or have rights to post the content, your content does not violate any third-party rights, and your content complies with these Terms and applicable laws.

6.4 Content Moderation

We may, but are not obligated to, review, monitor, or moderate User Content; remove content that violates these Terms; use automated systems for content moderation; and take action against accounts posting violating content.

6.5 Content Removal

We may remove User Content at any time for any reason, including violation of these Terms, legal requirements, safety concerns, or at our sole discretion.

7.1 User Responsibility

Here Now is a platform for connection. We are not responsible for the conduct of any user, whether online or offline; the accuracy of information provided by users; any interactions or meetups between users; or any disputes between users.

7.2 Safety Precautions

You acknowledge that meeting people involves inherent risks. We strongly recommend:

• Meeting in public places for initial meetups
• Informing a friend or family member of your plans
• Trusting your instincts (if something feels wrong, leave)
• Not sharing sensitive personal information too quickly
• Verifying the identity of users you meet
• Arranging your own transportation

7.3 No Background Checks

While we may verify identity, we do not conduct criminal background checks on users. Identity verification confirms that a user is who they claim to be, not that they are safe to meet.

7.4 Reporting

If you experience or witness any concerning behaviour:

• Use the in-app reporting feature
• Block users who make you uncomfortable
• Contact local law enforcement if you feel unsafe
• Email us at support@herenowlocal.app for urgent concerns

8.1 Our Intellectual Property

The Service, including its design, features, content, and technology, is owned by Here Now Group Ltd and protected by intellectual property laws.

8.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial purposes and to download and install the App on your personal device.

8.3 Restrictions

You may not copy, modify, or distribute any part of the Service; use our trademarks without written permission; remove any copyright or proprietary notices; or create derivative works based on the Service.

The Service may contain links to third-party websites or services. We are not responsible for the content or practices of third-party sites, any transactions with third parties, or any damages arising from third-party services. We use third-party services to operate Here Now (e.g., cloud hosting, analytics). These services have their own terms and privacy policies. Your use of the App is also subject to the terms of service of the app store from which you downloaded it.

Here Now is currently free to use. Core features are available without payment. We may introduce premium features or subscriptions in the future. If we do, pricing will be clearly disclosed before purchase, you will have the option to continue using free features, and refund policies will be provided at that time. If your account is terminated for violating these Terms, you are not entitled to any refund.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OR RELIABILITY OF CONTENT.

We do not guarantee that you will find compatible users or make connections, that the Service will meet your expectations, that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER. YOU USE THE SERVICE AND INTERACT WITH OTHER USERS AT YOUR OWN RISK.

Nothing in these Terms affects your statutory consumer rights under UK law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERE NOW GROUP LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ANY DAMAGES ARISING FROM YOUR USE OF THE SERVICE, ANY DAMAGES ARISING FROM INTERACTIONS WITH OTHER USERS, OR ANY PERSONAL INJURY OR PROPERTY DAMAGE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR ONE HUNDRED POUNDS STERLING (£100).

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.

You agree to indemnify, defend, and hold harmless Here Now Group Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, your violation of these Terms, your violation of any third-party rights, or your interactions with other users.

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@herenowlocal.app to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

14.2 Governing Courts

If informal resolution is unsuccessful, disputes shall be referred to and finally resolved by the courts of England and Wales. All users agree to submit to the exclusive jurisdiction of the English courts, subject to any mandatory consumer protection laws applicable in your country of residence.

14.3 Consumer Rights

If you are a consumer, nothing in these Terms prevents you from bringing a claim in the courts of your country of residence where required by applicable consumer protection law.

14.4 Time Limit

Any claim must be brought within one (1) year of the date the claim arose, or it is permanently barred. This does not apply where prohibited by law.

15.1 Your Right to Terminate

You may terminate your account at any time through the App settings or by contacting us.

15.2 Our Right to Terminate

We may suspend or terminate your account at any time, with or without cause, with or without notice, including for violation of these Terms, conduct that we determine is harmful to other users or the Service, extended periods of inactivity, or legal or regulatory requirements.

15.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. We may delete your account and User Content. Provisions that by their nature should survive will survive, including Sections 6.2, 11, 12, 13, and 14.

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms in the App, sending a notification through the App, or emailing you for significant changes. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. For material changes, we will provide at least 30 days' notice before the changes take effect.

These Terms are governed by the laws of England and Wales. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Here Now Group Ltd. If any provision is found unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision. You may not assign or transfer these Terms. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. These Terms are written in English. Any translations are for convenience only.

19.1 Apple App Store

If you downloaded the App from the Apple App Store, these Terms are between you and Here Now Group Ltd, not Apple. Apple has no obligation to provide maintenance or support. Apple is not responsible for any claims related to the App. Apple is a third-party beneficiary of these Terms.

19.2 Google Play Store

If you downloaded the App from Google Play, these Terms are between you and Here Now Group Ltd, not Google. Google has no obligation to provide maintenance or support. Google is not responsible for any claims related to the App.

BY USING HERE NOW, YOU ACKNOWLEDGE THAT you have read and understood these Terms, you agree to be bound by these Terms, you are at least 18 years of age, you meet all eligibility requirements, and you understand the risks of meeting people through the Service.
